1. Acceptance of Terms
These Website Terms of Use ("Terms") govern your access to and use of the ZAVIR website located at www.zavir.us, including any account, customer portal, vehicle configurator, reservation, ordering, payment, and other online features we make available through the website (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and any additional terms presented for a specific feature or transaction. If you do not agree, do not access or use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. ZAVIR is a brand of ElDorado National (California), Inc. (“ENC”). ENC is the legal entity responsible for this website and for communications submitted through it. References on this website to “ZAVIR,” “we,” “us,” or “our” refer to ENC unless the context expressly states otherwise. ZAVIR is a brand name, not a separate legal entity.
2. Description of Service
ZAVIR provides a digital experience relating to commercial vehicles, products, services, and company developments. The Service may allow you to create an account, access a customer portal, configure vehicles, request information or quotations, submit reservations or orders, and make payments. Vehicle images, configurations, specifications, range or performance estimates, pricing, incentives, delivery dates, and availability are illustrative or estimates unless expressly stated otherwise in transaction-specific terms. Actual vehicles and available features may differ, and ZAVIR may correct errors or change products, specifications, pricing, and availability before accepting an order.
3. Acceptable Use
You may use the Service only for lawful, authorized purposes and in accordance with these Terms. You agree not to:
a. Use the Service in any way that violates applicable federal, state, local, or international law or regulation;
b. Transmit or procure the sending of any advertising or promotional material, including “junk mail,” “chain letters,” “spam,” or similar solicitations;
c. Impersonate or attempt to impersonate ZAVIR, a ZAVIR employee, another user, or any other person or entity;
d. Interfere with or disrupt the Service, impose an unreasonable load on its infrastructure, circumvent access controls, probe or test vulnerabilities without authorization, or engage in conduct that restricts or inhibits another person's use of the Service;
e. Use any robot, spider, scraper, crawler, artificial intelligence agent, or other automated means to access, copy, monitor, extract, or index the Service, except as permitted by our robots.txt file or our express written authorization;
f. Infringe upon or violate our intellectual property rights or the intellectual property rights of others;
g. Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any person or entity;
h. Submit false or misleading information through the Service;
i. Upload, transmit, or introduce viruses, malware, malicious code, or other material intended to damage, disrupt, intercept, or gain unauthorized access to systems, data, accounts, or personal information;
j. Solicit or assist another person to perform an unlawful act; or
k. Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas from any software or technology used to provide the Service, except to the limited extent such restriction is prohibited by law.
l. Use the Service to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
4. Intellectual Property Rights
The Service and its content, features, functionality, software, designs, text, graphics, images, audio, video, trademarks, trade dress, and other materials are owned by ZAVIR or its licensors and are protected by intellectual property and other laws. Subject to these Terms, ZAVIR grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal use or internal business evaluation. You may not reproduce, modify, distribute, publicly display, commercially exploit, frame, or create derivative works from the Service or use ZAVIR trademarks without our prior written consent. All rights not expressly granted are reserved.
5. Accounts, Transactions, and Submissions
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, submit a reservation or order, or make a payment. You are responsible for providing accurate information, safeguarding your credentials, and all activity under your account. Notify us promptly at accountsupport@zavis.us of suspected unauthorized access. Reservations, orders, deposits, payments, refunds, financing, delivery, warranties, and purchases may be subject to additional terms presented before submission. A configuration, quotation, reservation, payment authorization, or order submission does not require ZAVIR to sell or deliver a vehicle or service until ZAVIR accepts the transaction under the applicable additional terms. You retain ownership of materials you submit. You grant ZAVIR a non-exclusive, worldwide, royalty-free license to use submitted materials only to provide the Service, process your request or transaction, protect the Service, and comply with law. Feedback and suggestions may be used without restriction or compensation, provided ZAVIR does not identify you publicly without permission.

Our PRIVACY POLICY LINK describes how we collect, use, disclose, and retain personal information in connection with the Service. Additional notices may apply to particular features or transactions.
7. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." ZAVIR AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AND QUIET ENJOYMENT. ZAVIR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR SUITABLE FOR YOUR REQUIREMENTS, OR THAT PRODUCT INFORMATION, CONFIGURATIONS, PRICING, ESTIMATES, OR AVAILABILITY WILL BE ACCURATE OR CURRENT. TRANSACTION-SPECIFIC WARRANTIES, IF ANY, ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE PURCHASE, WARRANTY, OR OTHER ADDITIONAL TERMS.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ZAVIR AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID ZAVIR THROUGH THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR TO RIGHTS EXPRESSLY PROVIDED IN TRANSACTION-SPECIFIC TERMS.
9. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless ZAVIR and its affiliates, licensors, service providers, and their respective directors, officers, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your unlawful or unauthorized use of the Service; (b) your violation of these Terms or applicable additional terms; (c) materials you submit; or (d) your violation of another person's rights, including without limitation any copyright, property, or privacy right. This obligation does not apply to the extent a claim results from ZAVIR's gross negligence or willful misconduct or to the extent indemnification by a consumer is prohibited by law.
10. Termination
We may immediately suspend, restrict, or terminate your account or access to all or part of the Service if we reasonably believe you violated these Terms, created security or legal risk, failed to pay amounts due, or misused the Service. We may also modify or discontinue all or part of the Service, subject to applicable transaction-specific terms and law. Upon termination, your right to use the affected Service ends, but provisions that by their nature should survive will remain effective. Termination does not affect obligations incurred before termination, including payment obligations.
11. Governing Law
These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Except for disputes subject to Section 12, the state and federal courts located in Riverside County, California will have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.
12. Dispute Resolution; Binding Individual Arbitration
Please read this Section carefully. It affects legal rights.
Before starting arbitration, the claimant must send a written notice describing the dispute and requested relief to the other party. Notices to ZAVIR must be sent to legal@zavir.us and the mailing address below in the Contact section. The parties will attempt in good faith to resolve the dispute for 30 days after receipt.
Except for an eligible individual action in small claims court or a claim seeking injunctive relief for unauthorized use or infringement of intellectual property, any dispute arising out of or relating to these Terms, the Service, or the parties' relationship will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this Section. The arbitration may be conducted by telephone, videoconference, documents, or in person in the county where you reside, unless the parties agree otherwise. The arbitrator may award any individual relief available in court.
YOU AND ZAVIR AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR ARBITRATION. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's claim.
You may opt out of this arbitration agreement by sending written notice legal@zavir.us and the mailing address below in the Contact section within 30 days after you first accept these Terms. The notice must include your name, account email address, and a clear statement that you opt out of arbitration. Opting out will not affect other provisions of these Terms.
13. Changes to Terms
We may modify these Terms by posting an updated version and revising the Effective Date. Changes apply prospectively when posted or on a later date stated in the updated Terms. If a change materially affects an existing account or transaction, we will provide additional notice where required by law. Continued use of the Service after the effective date of revised Terms constitutes acceptance, except where affirmative consent is required.
14. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, it will be enforced to the maximum extent permitted and modified or severed only to the minimum extent necessary. The remaining provisions will remain in full force and effect. If the class-action waiver in Section 12 is held unenforceable as to a particular claim, that claim will proceed in court after completion of any arbitrable claims.

ZAVIR seeks to provide an accessible digital experience and uses the Web Content Accessibility Guidelines as a reference for its accessibility efforts. If you experience difficulty accessing the Service or need information in an alternative format, contact us using the information in Section 21. Please identify the page, feature, and assistive technology involved so we can evaluate the issue.
16. Third-Party Services and Links
The Service may contain links to, integrations with, or content from third-party websites, dealers, financing providers, payment processors, maps, social media platforms, and other services. ZAVIR does not control and is not responsible for third-party content, availability, security, products, services, or practices. A link or integration does not imply endorsement. Your use of a third-party service is governed by that party's terms and privacy notice, and dealings with a third party are solely between you and that party.
17. United States Site; Export Controls
The Service is operated from the United States and is intended for users and transactions in the United States. Product information, pricing, incentives, specifications, and availability apply only to the United States unless expressly stated otherwise. If you access the Service from another location, you are responsible for compliance with local law. You may not use, export, or re-export the Service or related software or content in violation of United States export-control, sanctions, or import laws, including use by or for restricted persons, entities, or territories.
18. Miscellaneous
These Terms, the Privacy Policy, and any applicable additional terms constitute the entire agreement between you and ZAVIR concerning the Service. If additional terms conflict with these Terms, the additional terms control for the applicable feature or transaction. ZAVIR's failure to enforce a provision is not a waiver. You may not assign or transfer these Terms or any account without ZAVIR's prior written consent. ZAVIR may assign these Terms in connection with an affiliate reorganization, financing, merger, acquisition, sale of assets, or by operation of law. Headings are for convenience only. The words "including" and "include" mean "including without limitation." Sections concerning intellectual property, submissions, disclaimers, liability, indemnification, disputes, and any accrued obligations survive termination.
19. Copyright Complaints
If you believe content available through the Service infringes your copyright, send a written notice to our designated copyright agent at the contact information provided in the Contact Information section that identifies the copyrighted work, identifies the allegedly infringing material and its location, provides your contact information, includes statements of good-faith belief and accuracy under penalty of perjury, and includes the signature of the copyright owner or authorized agent. ZAVIR may remove or restrict access to material and terminate repeat infringers where appropriate. ZAVIR may forward your notice to the person who provided the material.
20. Electronic Communications
You consent to receive agreements, disclosures, notices, receipts, and transaction records electronically at the email address associated with your account or through the Service. Electronic communications satisfy any legal requirement that communications be in writing, subject to applicable law. You are responsible for keeping your contact information current and retaining copies for your records. Marketing communications are subject to your consent and opt-out rights described in our Privacy Policy. Transactional and service communications may continue after you opt out of marketing.
